1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of ZunderFlow's unified commerce platform, including the Partner App (Merchant Platform), Client App (Customer App / Website), and Rider App (Delivery Personnel App), collectively referred to as the "Platform" or "Services."
By accessing or using ZunderFlow, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Platform.
"ZunderFlow," "we," "us," or "our" refers to ZunderFlow and its affiliates. "You" or "User" refers to any individual or entity accessing or using the Platform, including merchants, customers, riders, staff members, and sales agents.
2. Platform Description
ZunderFlow is a unified commerce platform designed to give merchants complete control over their business operations. The Platform consists of three interconnected applications:
- Partner App (Merchant Platform): Enables merchants to manage products, orders, customers, pricing, deliveries, and reports with AI assistance, automation, and Zoho Inventory integration from a centralized dashboard.
- Client App (Customer App / Website): Allows merchant-approved customers to browse products, place and track orders, receive stock alerts, reorder previous purchases, and interact with merchants through multiple channels.
- Rider App (Delivery Personnel App): Helps delivery riders manage assignments, update order status, navigate routes, share live locations, and confirm deliveries with proof-of-delivery verification.
3. Account Registration & Access
Merchant Registration
- Merchant accounts require registration and are subject to admin whitelisting and approval before activation.
- Merchants are responsible for the accuracy of information provided during registration, including business details and tax identification.
- Merchants may configure role-based access for their staff and sales agents. Each user must have unique credentials.
Customer Access
- Customer access to the Client App is restricted. Only customers explicitly added or approved by a merchant can log in and use the app or website.
- Merchants may freeze or block customer accounts at their discretion, temporarily or permanently restricting access.
Rider Registration
- Riders must register and may be required to provide identification and vehicle details for verification purposes.
- Rider accounts are subject to approval and ongoing compliance with delivery standards.
Account Security
- You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
- You must notify us immediately at support@zunderflow.com if you suspect unauthorized use of your account.
4. Order Management & Fulfillment
Order Placement
- Customers may place orders through the Client App, WhatsApp, email, and other configured channels. All orders are unified inside ZunderFlow.
- Merchants may create orders manually on behalf of customers through the Partner App.
- Orders are subject to product availability and merchant acceptance.
Order Modifications & Cancellations
- Merchants may edit orders before fulfillment and add notes.
- Customers may cancel orders before merchant acceptance.
- Once an order is accepted by the merchant, cancellation is at the merchant's discretion.
Pricing & Taxes
- Product pricing is determined by the merchant and may vary based on customer groups, price lists, and custom discounts.
- GST and other applicable taxes are configured at merchant, category, or product level as set by the merchant. ZunderFlow facilitates tax calculation but does not provide tax advice.
- Prices displayed to customers in the Client App reflect automated application of the relevant price list and discounts.
5. Delivery Services
Rider Assignments
- Merchants assign delivery riders to orders. Riders may accept or decline assigned deliveries.
- Riders are responsible for timely pickup and delivery, maintaining communication, and updating delivery status throughout the journey.
Live Location Tracking
- Riders must enable GPS location sharing during active deliveries. This location data is shared with the merchant and the relevant customer in real time.
- Location tracking is automatically activated during active deliveries and deactivated upon completion.
Proof of Delivery
- Riders must verify successful delivery and may be required to upload images or other proof of delivery for validation.
- Delivery disputes will be reviewed based on available evidence including location data, delivery images, and communication logs.
6. Product & Inventory Management
- Merchants are solely responsible for the accuracy of product information, including descriptions, variants, pricing, and stock levels.
- AI-generated product descriptions are provided as suggestions. Merchants must review and approve all content before publication.
- Out-of-stock products may trigger automated customer notifications. Merchants manage product visibility (active/inactive) settings.
- Inventory data synced with Zoho Inventory is subject to the accuracy of the source data. ZunderFlow is not responsible for discrepancies originating from third-party systems.
7. AI Features & Automation
- AI Chatbot: Provides business insights and performance analysis based on merchant data. AI-generated recommendations are advisory in nature and do not constitute professional business, financial, or legal advice.
- AI Content Generation: Product descriptions and other AI-generated content are provided as drafts. Merchants are responsible for reviewing, editing, and approving all published content.
- AI-SEO: JSON-LD structured data is auto-generated from merchant data. Merchants can control product-level structured data visibility. ZunderFlow does not guarantee specific search engine rankings.
- Automated Order Collection: Orders received from external channels (WhatsApp, email) are processed automatically. Merchants are responsible for configuring and monitoring automated channels.
8. Third-Party Integrations
ZunderFlow integrates with third-party services including but not limited to Zoho Inventory. By enabling integrations:
- You authorize ZunderFlow to sync data (items, customers, price lists, sales orders) between the Platform and the integrated service.
- You acknowledge that third-party services are governed by their own terms and privacy policies, which we do not control.
- ZunderFlow is not liable for data loss, errors, or service disruptions caused by third-party integrations.
- Merchants are responsible for maintaining valid credentials and permissions for connected services.
9. Intellectual Property
- All ZunderFlow platform code, design, technology, documentation, trademarks, and branding are the exclusive property of ZunderFlow and protected by intellectual property laws.
- Merchants retain ownership of their business data, product content, branding assets, and customer information uploaded to the Platform.
- By using the Platform, merchants grant ZunderFlow a limited, non-exclusive license to use their content solely for the purpose of providing the Services.
- Users may not copy, modify, distribute, sell, or lease any part of the Platform or its content without prior written consent from ZunderFlow.
10. Prohibited Uses
You agree not to use the Platform to:
- Violate any applicable laws, regulations, or third-party rights.
- Upload false, misleading, or deceptive product information or business data.
- Engage in fraud, money laundering, or any illegal commercial activity.
- Attempt to gain unauthorized access to other users' accounts, data, or platform infrastructure.
- Introduce malware, viruses, or any harmful code into the Platform.
- Scrape, harvest, or extract data from the Platform through automated means without authorization.
- Use AI-generated features to create misleading, defamatory, or harmful content.
- Circumvent, disable, or interfere with security features or access controls.
Violation of these terms may result in immediate account suspension or termination without prior notice.
11. Payments & Billing
- ZunderFlow subscription fees, if applicable, are billed according to the pricing plan selected by the merchant at the time of registration or as subsequently agreed.
- Payment processing is handled by secure third-party payment providers. ZunderFlow does not directly store credit card or bank account numbers.
- Merchants are responsible for all fees and charges incurred under their account, including any applicable taxes.
- Failure to pay may result in service suspension or account termination after reasonable notice.
12. Support & Issue Resolution
- Customers may raise issues or complaints related to orders or delivery through the Client App. These issues are visible to the merchant in the Partner App.
- Merchants are primarily responsible for resolving customer issues related to their products, pricing, and delivery services.
- ZunderFlow provides platform-level support for technical issues, account access, and integration troubleshooting.
- We aim to respond to support requests within a reasonable timeframe, though response times may vary based on issue complexity.
13. Limitation of Liability
To the maximum extent permitted by applicable law:
- ZunderFlow provides the Platform "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
- We do not guarantee uninterrupted, error-free, or secure access to the Platform.
- ZunderFlow is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill.
- Our total aggregate liability for any claims arising from or related to the Services shall not exceed the amount you paid to ZunderFlow in the twelve (12) months preceding the claim.
- ZunderFlow is not responsible for the actions, content, or data of merchants, customers, riders, or any third parties using the Platform.
14. Indemnification
You agree to indemnify, defend, and hold harmless ZunderFlow, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content or data you submit, post, or transmit through the Platform.
15. Termination
- You may terminate your account at any time by contacting us at support@zunderflow.com.
- We may suspend or terminate your access to the Platform at any time, with or without cause, including for violation of these Terms.
- Upon termination, your right to use the Platform ceases immediately. We may retain certain data as required by law or for legitimate business purposes.
- Merchants may request data export before account termination, subject to our data retention policies.
16. Governing Law & Dispute Resolution
- These Terms are governed by and construed in accordance with the laws of India.
- Any disputes arising from these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.
- Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
17. Modifications to Terms
We reserve the right to modify these Terms at any time. When we make material changes:
- We will update the "Last updated" date at the top of the Terms.
- We will notify registered users via email or in-app notification for significant changes.
- We will post the updated Terms on our website.
Continued use of the Platform after modifications constitutes acceptance of the updated Terms. If you do not agree with the revised Terms, you must discontinue use of the Platform.
